1. Scope and provider

These Terms of Service govern your use of SAPLING, a web-based procurement and budget tracking application operated by:

By creating an account, you agree to these terms.

2. Service description

SAPLING provides team-level procurement tracking and budget management tools, including:

  • Order creation, tracking, and lifecycle management
  • Budget planning with committed and actual spending views
  • Supplier directory and management
  • Team collaboration with role-based access

3. Account and access

You must provide a valid email address to create an account. You are responsible for keeping your login credentials secure. You must notify us immediately if you suspect unauthorized access to your account.

4. Free trial

SAPLING offers a 30-day free trial with full access to all features. No payment information is required during the trial. At the end of the trial period, you may subscribe to a paid plan or your access will be limited.

5. Pricing and payment

Subscription plans are billed annually in Swiss Francs (CHF). Current pricing is displayed on our website. We reserve the right to change prices with 30 days' notice before your next billing cycle.

6. Cancellation

You may cancel your subscription at any time. Upon cancellation:

  • Your access continues until the end of the current billing period
  • No refunds are issued for unused time in the current period
  • You can export your data before the subscription ends
  • After the subscription ends, your data is retained for 90 days, then deleted

7. Your data

You retain ownership of all data you enter into SAPLING (orders, budgets, supplier information, etc.). We do not claim any intellectual property rights over your content.

8. Availability and maintenance

We aim to provide high availability but do not guarantee uninterrupted service. Planned maintenance will be announced in advance where possible. We are not liable for downtime caused by third-party infrastructure providers.

9. Limitation of liability

SAPLING is provided "as is". To the maximum extent permitted by Swiss law:

  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid for the service in the 12 months preceding the claim
  • We are not liable for data loss caused by circumstances beyond our reasonable control

10. Acceptable use

You agree not to:

  • Use the service for any unlawful purpose
  • Attempt to gain unauthorized access to the service or other users' data
  • Interfere with the operation of the service
  • Resell or redistribute the service without written permission

11. Changes to these terms

We may update these terms from time to time. Material changes will be communicated via email or a notice in the application at least 30 days before they take effect. Continued use after changes constitutes acceptance.

12. Governing law and jurisdiction

These terms are governed by Swiss law. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Bern, Switzerland.
